We ask that you please read and agree to the following Non-Disclosure Agreement.
Rafco Properties, Inc. and its subsidiaries and your Company hereby agree and affirm on today's date, that in the course and scope of business they may encounter, become aware of, have access to, or be informed of confidential business information. Confidential business information includes but is not limited to fee schedules, policies and procedures, personnel or staffing information, operational information, contract and or administrative information (collectively “Confidential Information”). The parties understand and acknowledge that all such Confidential Information shall not be disclosed, discussed with, disseminated or provided in any manner or medium to any person or entity except those directly related in reviewing said Confidential Information. Confidential Information shall be used solely for purposes indicated. Such Confidential Information will not be disclosed to any third party absent the prior written consent of the Parties. Parties further acknowledge and affirm that any such disclosures as referenced or contemplated above shall be deemed a breach of confidentiality, and parties reserve the right to purse any and all legal recourses against the other Party. This Agreement may be terminated by either Party upon 30 days written notice. Upon termination, all Confidential Information received by both Parties shall be destroyed and such information shall remain confidential in nature.
